SERVICES

  1. Work Better provides certain services on an as requested basis. The fee schedule for these services is available upon request and may be updated from time to time.

  2. The fees are charged to the Client's account and are payable on the monthly billing date for residential and on-account, full-time members.

  3. Client agrees to pay all charges authorized by their employees. The Center and vendors designated by Center are the only service providers authorized to provide services in the Center.

  4. Client agrees that neither Client nor their employees will solicit other Clients of the Center to provide any service provided by Center's affiliates or its designated vendors, or otherwise.

  5. In the event Client defaults on their obligations under this agreement, Client agrees that Center may cease to provide any and all services including telephone services without resorting to legal process.


PAYMENTS

  1. Client agrees to pay the fixed and additional service fees and all applicable sales or use taxes by the payment due date, which is on the 1st of every month for residential, on-account members.

  2. Client will be charged a late fee equivalent to 10% of the balance due, if payment is not received by the 5th of every month.

  3. If Client disputes any portion of the charges on their bill, Client agrees to pay the undisputed portion on the designated payment date. Client agrees that charges must be disputed within thirty (30) days or Client waives their right to dispute such charges. 


OUR LIMITATION OF LIABILITY

  1. Client acknowledges that due to the imperfect nature of verbal, written and electronic communications, neither Center nor Center's affiliates, landlord or any of their respective officers, directors, employees, partners, agents or representatives shall be responsible for damages, direct or consequential, that may result from the failure of Center to furnish any service, including but not limited to the service of conveying messages, communications and other utility or services. Client's sole remedy and Center's sole obligation for any failure to render any service, any error or omission, or any delay or interruption of any service, is limited to an adjustment to Client's bill in an amount equal to the charge for such service for the period during which the failure, delay or interruption continues. WITH THE SOLE EXCEPTION OF THE REMEDY DESCRIBED ABOVE, CLIENT EXPRESSLY AND SPECIFICALLY AGREES TO WAIVE, AND AGREES NOT TO MAKE ANY CLAIM FOR DAMAGES, DIRECT OR CONSEQUENTIAL, INCLUDING WITH RESPECT TO LOST BUSINESS OR PROFITS, ARISING OUT OF ANY FAILURE TO FURNISH ANY SERVICE, ANY ERROR OR OMISSION WITH RESPECT THERETO, OR ANY DELAY OR INTERRUPTION OF SERVICES. CENTER DISCLAIMS ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.


INDEMNIFICATION

  1. Client will defend, indemnify, and hold harmless Center, the landlord of the Building and their employees, agents, owners and affiliates, from and against any and all suits, claims, causes of action, liabilities, loss, costs, damages and expenses of whatever kind (including, but not limited to attorneys fees and court costs) arising in any manner, directly or indirectly, out of Client’s use of the office or the Center’s facility or the Building.


VIRTUAL OFFICE

  1. Client and Work Better agree to a month-to-month agreement with a mutual one-month notice.

  2. Client agrees to pay by credit card in advance of services provided. In the event the credit card on file is declined for any reason, services will be immediately suspended and this agreement will be terminated.

  3. Client agrees to a one-time setup fee of $75. If the agreement is terminated for any reason and Client would like to sign a new agreement, setup fees shall apply.

  4. The designated telephone number(s) assigned to client is solely the property of Work Better and cannot be removed by client upon termination of this Agreement. Upon termination, Work Better reserves the right to reassign the number(s) immediately. Telephone calls received for client after termination will be transferred to voicemail.

  5. Client agrees that it and its guests will conduct business in a business-like manner and that client and its guests shall not interfere with the business of other clients. Work Better reserves the right to terminate this Agreement if, in the sole discretion of Work Better, Client’s business activities potentially impair the business or reputation of Work Better or its clients.

  6. Client agrees that Work Better is not responsible for loss or damage to any document or other articles arising out of services provided by the U.S. Postal Service or any other carrier or private delivery service. 

  7. Upon termination of this Agreement, Work Better will advise the Post Office that it will no longer receive mail on behalf of client. Any mail received after termination will be returned to sender.

  8. Work Better shall not be liable or responsible to client, its designated employees, or invitees for any personal or property injury or damage resulting from acts or omissions of Work Better’s employees.

  9. Except for fleeting use or an emergency, client and its staff will not use the public corridors or reception areas for cell phone conversations or meetings. Work Better reserves the right to impose a conference room fee for such inappropriate use of the public areas.

  10. Client must provide a list of people who are authorized to book additional services (conference rooms, day offices, etc.) under their account and agree to pay for these additional services, which are not covered under their monthly agreement. Client must notify Work Better of any changes to the list of authorized personnel in writing and is solely responsible for any charges to their account. If a person who is not authorized to book additional services on client’s account asks to book services, they will be declined until the client provides written approval (via email) authorizing them.

  11. Work Better reserves the right to terminate the Agreement if complaints are made against client relating to noise, invasion of space, or any other misconduct.

  12. Client will abide by Work Better’s House Rules (available upon request), including but not limited to:

    1. Business casual dress code

    2. Be respectful of other clients

    3. No radio or music (use headphones)

    4. No meetings in common areas

    5. Government issued valid ID must be shown to gain access to facilities

    6. Valid credit card and credit card authorization form must be kept on file at all times along with a front and back copy of the credit card and the cardholder’s ID
